Program Description:

This webinar will provide a broad overview of the basics of licensing intellectual property rights to commercial (non-US Government) companies. The seminar will briefly review the decision-making process to license IP rights, how to establish an initial value for such rights, and what information must be gathered before offering the IP to a third party. The primary focus of the session will focus on fundamental concepts relating to structuring term sheets, preparing for negotiations, and reviewing the elements that should be included in your license agreements.

Lorraine(Lori) Morrison, Esq., CLP, Licensing Manager, Northrop Grumman Corporation 

Lorraine (Lori) Morrison (Ms.), Esq., CLP, is currently a licensing manager within the Law Department at Northrop Grumman Corporation. At Northrop Grumman Corporation, Lori?s responsibilities are primarily focused on drafting technology agreements and negotiating the sale, acquisition, and/or licensing of intellectual property rights. In her role, she provides guidance to multiple Northrop Grumman businesses on how to structure deals ? from no-fee to royalty and other revenue generating arrangements ? with both commercial companies as well as with the US federal and foreign governments. She advises on software licensing including SaaS, cloud, and agile software delivery mechanisms (including DevSecOps). As an executive at Intellectual Assets, ipValue, Arthur Andersen and KPMG, Lori provided guidance to major Fortune 500 clients such as British Telecom, UBS Warburg, Boeing, Sprint, Abbott, and SC Johnson on to identify, value, license, sell and acquire IP assets and in setting an effective corporate IP and technology strategy. Originally trained as a research chemist, Lori first became involved in licensing through managing Avery Dennison?s corporate strategy and R&D patent portfolio. Lori has lectured on trade secrets, patent analytics, IP strategy, and competitive intelligence and has written articles on licensing and patent portfolio management. Lori holds degrees in History and Chemistry from the University of California (Riverside), a M.A. in History from California State University (Fullerton), and a J.D. from Loyola Law School (Los Angeles). She is a Certified Licensing Professional and a member of the D.C. Bar. She is past Co-Chair of the Intellectual Property Law Steering Committee of the D.C. Bar, past chair of the Aerospace & Transportation Committee of the High Tech Sector of the Licensing Executives Society, past Chair of the Los Angeles Chapter of the Licensing Executives Society and is currently on the advisory panel of the D.C. Chapter of the Licensing Executives Society. In 2015, she was included on the IAM 300 Strategy. She participates in pro bono activities relating to STEM and assisting veterans in obtaining service-related benefits.
