The panelists will present “Licensing of Trade Secrets – Top Tips and Traps” for the Licensing Executives Society’s Continuing Legal Education (“CLE”) Seminar. The presentation will take place on January 21st, from 12:00 to 1:00 p.m. in the Wells Fargo Bank Centre in the South Conference Room, 15th Floor. The presentation will include a discussion of different settings in which trade secrets are typically licensed, protections legal counsel need to consider when licensing, tricky enforcement issues such as audits, reverse engineering, control of aftermarkets, litigation considerations and international considerations. Materials will include legal definitions, checklists, sample clauses, as well as concrete examples and tips regarding approach and strategy for licensing trade secrets.

Jarrett Payne
works in Intellectual Property Contracts at The Boeing Company, where he leads the contracts pro forma team, coordinates with the Boeing Commercial Airplane division, and supports corporate development activity. He has negotiated all types of license agreements with licensees on nearly every continent. Payne started with Boeing in 2000, and left in 2010 to establish NW Venture Law, where he practiced business and intellectual property law. He also founded and was a managing director of DreamCatchers Group which specialized in advising companies in intellectual property strategy and licensing. Payne returned to Boeing in 2012.

Alexei Naimushin works in Intellectual Property Management at The Boeing Company, where he specializes in Commercial Aviation licensing and has over 20 years of experience with IP, R&D, and product development in aerospace, medical device, and pharmaceutical industries as well as in academia. Before joining Boeing, Naimushin ran an IP consulting company that developed IP strategies, shaped portfolios, and licensed IP, among other services.
Before founding his consulting firm, Naimushin was a senior director of licensing and intellectual property at Light Sciences Oncology.  Light Sciences' diverse IP portfolio of more than 500 assets covered oncology, urology, dermatology, ophthalmology, and cardiovascular disease areas, as well as neurotechnology and pain therapy devices.
Alexei received a bachelor’s degree in physics from Moscow State University in Russia, and a doctorate in chemistry from the University of Washington. After receiving his doctorate degree, Naimushin was a senior fellow at the UW School of Medicine, developing biological detection systems. Subsequently he co‐founded and was the CEO of Seattle Sensor Systems, which licensed and utilized the biodetection technology developed at the UW. Regina Culbert, Of Counsel, BakerHostetler LLP

Regina Culbert is a trial attorney with over 25 years of commercial and intellectual property litigation experience. She has tried cases and preliminary injunction hearings involving trade secrets in numerous state and federal courts across the country. She serves as program Co-Chair of the Chapter.
