The Inside Must-Know Information for Tech Contracts Focused on Software Startups - Tips, Tricks, and Gotchas to Expect and Manage

This unique panel introduces core topics in software and technology agreements. The meeting also serves as a working session to answer your questions about contract basics and negotiation. Geared toward startups, the panel will focus on how contracts can help you achieve - or frustrate - your key business goals.
Topics will include:

  • The Crown Jewels. Protecting your core IP and confidential information, including the core value of IP for startups.
  • Revenue Is KingMeeting your revenue recognition goals and avoiding common traps.
  • Exit Strategy. Preserving your ability to be acquired or go public.
  • Liability and Risk. Avoiding unreasonable risk and liabilities in your contracts - and how to know what is reasonable.
  • Showstoppers. Exclusivity, "most favored customer," right of first refusal, patent non-asserts - avoiding hidden gotchas that can cause you grief for years to come.

This event will also include ample Q&A time for you to ask the related follow-up questions you want answered for your small-to-medium-sized software company, but without the steep hourly fees.

Joe Berkowitz
Joseph (Joe) Berkowitz is the Associate General Counsel for Xero, a global leader in cloud accounting software. His responsibilities include serving as general counsel for Xero's U.S business and as global head of IP licensing, strategic partnerships, mergers and acquisitions, and data privacy. Prior to joining Xero two years ago, he spent six years at leading law firms, including O'Melveny & Myers and Shearman & Sterling, advising on mergers and acquisitions, debt and equity financings, public offerings, IP licensing, corporate governance and data privacy matters. He has extensive experience working with technology, healthcare and private equity clients.

Alex Mittendorf
Alexander Mittendorf is currently Head of Business Development at Genos, a consumer genomics company. Prior to joining Genos, Alex was Head of Legal at Pocket Gems, a mobile gaming company backed by Sequoia Capital and Tencent, and an attorney at the law firm Latham & Watkins.  He has a BA in computer science from Harvard University and a JD from Columbia University.

Derek Schwede
Derek Schwede is a Principal of Smithline PC, a one-of-a-kind San Francisco law firm focusing exclusively on technology transactions, product legal review and open source advising. As Principal, Derek leads teams that represent the firm’s Internet, SaaS/software, device and video game clients and participates in firm management. Derek has played a lead role in developing many of the firm’s core practice materials and approaches. Derek joined the firm in 2010 and became a shareholder in 2015. Prior to joining the firm, Derek was an associate in the Technology Transactions Group at Morrison & Foerster in San Francisco, California.  Derek received a BA, cum laude, in History and Asian Studies from Rice University and a JD from Harvard Law School.
