This panel discussion is aimed at demystifying the crowdfunding scene in both Canada and the United States. It will also address the latest initiatives on this topic in Quebec. The panel will expose crowdfunding from both the legal and the business side. It will also present real life experiences from companies and individuals who raised capital through this mechanism. 

The panel discussion will be followed by a cocktail enabling attendees to network and speak with the experts.

The presentation will be given in ENGLISH.

Annie Gauthier (Moderator) has served as the Chair of the Montréal Chapter of the LES (USA & Canada) since 2011. Under her leadership, the Chapter focuses its efforts on delivering monthly conferences on emerging topics and networking events for its members. The LES (USA & Canada) has acknowledged the Chapter success by presenting it with the membership (2012) and excellence in leadership (2014) awards.

Annie is a partner at Davies Ward Phillips & Vineberg LLP, a leading Canadian corporate law firm, in the Corporate/Commercial, Mergers & Acquisitions, Life Sciences and Technology practices. In the course of her career, she has been involved in a broad range of domestic and international transactions, with a particular emphasis on private mergers and acquisitions, private equity investments, strategic alliances and collaborations.

As concerns the life sciences and technology industries, Annie frequently advises and works with innovative clients and assists them from the startup stage to the sale of their business. In this capacity, Annie’s knowledge of crowdfunding has benefitted her clients seeking access to capital and to finance their business.

Mary Juetten, Mary Juetten, founder and CEO of Traklight, has dedicated her more-than-25-year career to helping businesses achieve and protect their success. Specializing in leading companies in transition or start-up phases and helping them create sustainable, operational, and financial growth, Mary wants entrepreneurs and businesses to have Fortune 500 style software solutions. Using her extensive education including Bachelor of Commerce degree from McGill and a Juris Doctorate from Arizona State, as well as her US and Canadian accounting and public accountant certifications, Mary created the only self-guided software platform that creates your custom intellectual property (IP) strategy. Mary is an international writer, speaker, and mentor, and co-chairs the Arizona Technology Council’s Law and Technology committee. She previously represented entrepreneurs on the Board of the Crowdfunding Investment Regulatory Advocates and is currently on the Emerging Enterprise Committee of the Licensing Executives Society.

Gil Michel-Garcia is the President of Financement Participatif en Capital Québec and co-founder and CEO of WAFU Inc., a Montreal based company which develops, produces and distributes a line of Japanese dressings and mayos under the WAFU® brand name.

Gil has more than fifteen years of global corporate legal and business experience, which he acquired as a corporate securities lawyer at leading international law firms in Montreal, New York and London. During the last 15 years, Gil has helped more than 100 Canadian and other non-US companies to raise in excess of $10 billion in private placements from investors in the United States.

A fervent believer in the potential transformative power of equity crowdfunding for small businesses, Gil is the President of Financement Participatif en Capital Québec (www.crowdquebec.org), and also acts as a Crowdfunding Ambassador for the National Crowdfunding Association of Canada in the Province of Quebec. Gil is also corporate counsel for KoreConX an Eco-System Infrastructure Platform for equity crowdfunding.

As CEO of WAFU, Gil has helped WAFU to raise more than $1 million from accredited investors in the United States and Canada, including $230,000 through the first ever U.S. accredited investor equity crowdfunding offering over the internet by a Canadian company. Most recently, Gil helped WAFU to launch the first ever simultaneous cross-border (US/Canada) Rule 506(c) / Reg. S accredited investor publicized equity crowdfunding offering by a Canadian company.

Stéphane Rainville is founder of CTO on-Demand and  has over 20 years leading large scale IT teams and projects. Stéphane specialize in wearing multiple hats for startups who need strategic planning, financial projections, government or crowd funding, hands on prototyping, creating an IT team and implement online marketing and social tools. He has participated in crowdfunding projects raising more than 700k$ and has in-depth knowledge about this field.

Heri Rakotomalala is an engineer and entrepreneur who believes crowdfunding is going to disrupt the investment world in technology ventures, art and film-making. In the past 5 years, he has co-founded and advised many technology startups, and brings both business skills and a strong technical foundation to SeedingFactory. Since November 2014, he is VP Marketing & Product at the crowdfunding platform MAKEACHAMP. Heri is also passionate in photography and cinema, and has directed and produced successful crowdfunding videos, with his strong visual skills and creative talent. Parallel to his entrepreneurial endeavours, Heri is the champion of the Montreal startup community, and contributes by organizing Montréal’s biggest startup events.

Giancarlo R. Salvo practices corporate and commercial law from Dentons Canada LLP’s Montreal office. His practice focuses primarily on securities law, venture capital as well as public and private mergers and acquisitions. He has in-depth knowledge of the legal background with respect to crowdfunding.

Giancarlo represents key industries including technology, energy and mining in complex transactions. He advises his clients on matters in the following fields: public offerings, private placements, plans of arrangement, takeover bids, takeover defenses and strategies, leveraged buyouts as well as private equity and venture capital financing. Giancarlo is frequently involved in cross-border and international transactions and has experience listing companies on the AIM market of the London Stock Exchange.
