This one-day course provides an overview of the basics of intellectual property (IP) and licensing. It builds a practical understanding of core IP and licensing concepts from both the business and legal perspectives. Each topic, taught by both legal and business experts working as a team, is divided into five sections with examples, exercises, and interactions between instructors and fellow attendees. Topics include an introduction to IP; the basics of IP commercialization and licensing; determining reasonable license fees and royalty rates; managing risks; and a licensing case study.

The course is divided into the following five modules:

Module 1. Introduction to IP: Introduction to the different types of IP including patents, trademarks, copyright, trade dress, and trade secrets.
Module 2. Basics of IP Commercialization & Licensing: Introduction to licensing, including reasons for licensing, description of licensing agreements, infringement, competition law, and relationship-building.
Module 3. Determining Reasonable License Fees & Royalty: Licensing risks and rewards, different valuation methods (e.g., Market, Financial, Cost) and their pros and cons, and royalty structures.
Module 4. Managing Risks: Identifying and managing different types of risk, including confidentiality, infringement, liability, collection of royalties and other fees, and unlicensed competition.
Module 5. Licensing Game: Attendees put into practice what they've learned by dividing into licensee and licensor teams and then discussing and negotiating terms of a licensing case study, based on both public and confidential information they are given. At the end of the negotiating session all teams report their results and how and why they reached them.

François Painchaud, ROBIC, L.L.P.
Mr. François Painchaud was called to the Québec Bar in 1986 and has been a partner of ROBIC, L.L.P. for more than 25 years. He leads the Business Law group and specializes in the negotiation and drafting of technology transfers, joint ventures and in corporate and commercial law, including venture capital financing and mergers and acquisitions. He has developed a particular expertise in commercial transactions where intellectual property is at the foreground. He participates in the negotiation and drafting of various commercial contracts such as licensing and research and development agreements. Mr. Painchaud is a Past President of the Licensing Executives Society (USA & Canada), Inc. and was a member of its board of directors from 2001 to 2010. He is currently administrator and corporate secretary of the Licensing Executives Society International. Since 2013, he was on the board of directors and treasurer of Certified Licensing Professionals (CLP). He is Director and Secretary General of the Canadian Louis Pasteur Foundation. He is also corporate secretary of the Québec Consortium for Drug Discovery (CQDM) and the NeoMed Institute. He was director and secretary of Axcan Pharma inc. until March 2008, when it became a closed society in the biggest Life Sciences buyout on the Canadian Stock market at the time. He has been recognized by his peers as one of the leading lawyers in technology transfers for several years (ref. Lexpert legal magazine). He was named Lawyer of the Year 2014 – Information Technology in Montréal by Best Lawyers and was also named Technology Transfer Lawyer of the Year in Canada by Corporate Intl Magazine Global Awards.

Natacha Mongeau, FPInnovations
Ms. Natacha Mongeau has over 15 years of experience in managing and monetizing intellectual property through various strategies. Since 2012, she is the Intellectual Property Manager at FPInnovations, one of the world’s largest private, not-for-profit forest products research organizations servicing the Canadian forest industry to develop innovative solutions and providing competitive technical advantage for its member companies and clients, in Canada and abroad. Ms. Mongeau has obtained her Master degree at HEC Montreal in International Marketing, and the subject of her thesis was “Intellectual Property Management in Multinationals”. She has been a lecturer on intellectual property management at École de technologie supérieure (ÉTS), an engineering school, for 5 years. She is the past co-chair of the Licensing Executives Society’s Montreal Chapter and past president of FORPIQ. Ms. Mongeau was the Director, Intellectual Property at Valeo Management for 10 years, managing and commercializing intellectual property for several universities, where she handled licensing negotiations and drafting.
