What does a founder, executive, or investor need to know about equity related agreements in tech?

When licensing technology or patents, a grant of equity is common by the licensee. To capture the potential value of the equity, it’s important to negotiate additional legal agreements that have critical nuances. Michael Poisel, Director of the Penn Center of Innovation (PCI) Ventures and Marc Singer, Managing Partner of Osage University Partners (OUP), will review the terms of Stock Purchase Agreements, Investor Rights Agreements and other common equity agreements in tech deals. Topics including participating preferred equity, dividends, tag along and drag along rights, etc. will also be reviewed.

Michael Poisel, Director of the Penn Center of Innovation (PCI) Ventures at the University of Pennsylvania
As a Director, Michael Poisel manages university spin-outs, technology transfer, and startups from Penn. Michael has over 20 years experience in the venture capital and private equity industries. He is also a board member of autonomous aerial device company Exyn Technologies, Inc. based in Philly.
Marc Singer, Managing Partner, Osage University Partners (OUP)
As Managing Partner, through OUP Marc invests in companies commercializing university technologies. His investment experience includes software, advanced materials, semi-conductors, and life sciences companies. He is also a board member of AI startup PsiKick based in Santa Clara.
