Discussion and Networking Reception

Program Description

At this meeting, audience members will engage in extensive small-group discussions at separate tables, with at least one pre-assigned experienced practitioner at each table. The session leader will pose, one at a time, a series of (what journalists refer to as) "thumb-sucker" questions about license-agreement provisions that can cause problems down the road. Such provisions include, for example: "Hollywood accounting"; consent requirements; overly-broad indemnification language; asking for representations when a warranty might be safer or vice versa; potential traps in various flavors of "efforts" clauses; provisions that can send people to jail; "sleeping dog" clauses that can backfire in negotiations; and "canary in the coal mine" clauses that can be used to smoke out potentially-difficult counterparties. Audience members will discuss the questions at their tables, then report out in a committee-of-the-whole discussion.  Texas CLE credit approved for 1.25 hours, including 0.25 hours ethics.

Each table will have its own expert; the session will be led by D.C. Toedt III (the last name is pronounced "Tate"), who chairs the Houston chapter of LES. Currently a part-time law professor and an attorney and arbitrator in private practice, Toedt was formerly a partner and member of the management committee at Arnold, White & Durkee, one of the nation's largest intellectual-property law firms, where he served as a member of the governing council of the ABA's Section of Intellectual Property Law. Toedt left AW&D to become vice president and general counsel of BindView Corporation, a publicly-traded software company, which he had helped the founders to start; he served there until the company's successful "exit" when it was acquired by Symantec Corporation, the world leader in its field. Licensed both in Texas and California, Toedt is a former co-chair of the Commercial Transactions Committee of the Section of Business Law of the State Bar of California.


The HESS Club is located in the Galleria area at 5430 Westheimer, about one mile west of Loop 610 between Yorktown and Chimney Rock. HESS is a low, freestanding building behind the much taller, white building.

Turn at the the blue HESS sign on the north side of Westheimer at a short street named Westheimer Way, just east of the large brown building.

Turn left at the HESS sign and drive through the portico of the HESS Club to an open air parking area.

If it is raining look for the underground parking area off Westheimer Way just before reaching the HESS portico. Enter HESS from the north end of the underground parking lot.

The Houston chapter uses online registration for members and non-members and accepts payment by credit card.  Members should login to the registration page with their LES online account.
