How a Buyers’ Legal Team may use IP Due Diligence to Obtain Concessions that go Beyond IP Risk

The panel will discuss the role of intellectual property in merger and acquisition transactions, with a particular emphasis on how a buyers’ legal team may use IP due diligence to obtain concessions that go beyond IP risk. Some of the specific topics will include:


  • Using publicly-available information to identify weaknesses in a portfolio before due diligence  begins.
  • Why the order in which due diligence is conducted can have a dramatic effect on the deal.
  • Valuation related issues that typically arise after the parties agree on a purchase price.
  • Reducing the resources required for integration after the closing by focusing on integration before the closing.

  Keith E. Mr. Gilman practices in all technology areas with an emphasis in addressing the unique issues presented in connection with medical devices. 


Jeffrey S. Dickey
Lerner David Littenberg Krumholz & Mentlik, LLP

  Jeffrey S. Dickey’s practice encompasses all areas of intellectual property law with a particular emphasis on transactional matters and the computer hardware and software arts. Mr. Dickey has handled all aspects of intellectual property transactions, ranging from drafting software licenses for small businesses to representing large international corporations in complicated multiparty patent transactions relating to standards bodies. He has a particular expertise in mergers and acquisitions, including the management and negotiation of the intellectual property aspects of stock and asset purchase agreements, and performing risk and valuation due diligence on target acquisitions. He also has an in-depth expertise in obtaining patents related computer software, computer hardware and so-called business methods. A large portion of his practice includes analyzing, obtaining and managing software patent portfolios. In addition to his legal experience, Mr. Dickey has extensive programming experience and continues to write code.
