This intensive 4-day course focuses on strategic licensing in the broader context of business development and company-wide intellectual asset management. It provides advanced skills and tools for the experienced licensing professional. Taught by world-class licensing experts in both lecture and small group formats, the course builds upon the Masters’ Class curriculum and covers six major topics: Legal Issues; Licensing Issues; Intellectual Asset (IA) Strategy; Valuation; Negotiation; and Ethics. Specific take-aways for course attendees include being able to: identify due diligence legal issues in licensing transactions; analyze difficult agreement provisions; recognize an IA strategy that is both actionable and aligned with corporate strategy; interpret competitive data; recognize assumptions and interpret an independent valuation report; and conduct principled negotiations and apply ethical principles to the opportunities.

|Patenting, Due Diligence, and Licensing |
Tackle legal issues of securing intellectual property and portfolio building such as patents, trade secrets, trademarks, copyrights, and know-how. Then put your new-found knowledge to use by applying infringement and validity analysis to real-world practical examples. From a licensing aspect, you will address issues facing decision-makers who have or seek to acquire technology to commercialize. Drastically improve your drafting skills by fully analyzing a faulty agreement by trying your hand at writing various clauses. You’ll also have an opportunity to examine patent claims and a patent file history. as well as employ elements for a successful negotiation.
|Intellectual Asset Strategy |
Using a case study approach, learn to develop and follow an IA strategy that meets your organization’s specific needs. Topics include the alignment of IA tactics with a company business strategy, a description of an IA management system and decision-making tools. You’ll also leave knowing how to analyze a business strategy and competitive information in order to make more sound recommendations to senior management.
Building on the previously established case studies and related valuation report, you’ll learn to competently review technology valuations by identifying and analyzing assumptions inherent in valuation. Concepts include market opportunity, competitive advantage, and adjustments for risk.

In this session, you’ll have the opportunity to apply the principles and best practices learned earlier by participating in a complex negotiation. Lively discussions include preparing for negotiations and evaluating the effectiveness of the techniques employed.
