DESCRIPTION
A panel discussion on the topic “Pitfalls in Monitoring and Enforcing Licensing Agreements” will be addressed and deliberated by expert participants designed to provide diverse perspectives. Participants include specialists in negotiating and writing technology licenses, royalty accounting, auditing and monitoring royalty income, IP transactions, patent enforcement and licensing management. Specific discussion will include proper management of an IP license portfolio, defining licensee royalty reporting requirements, setting performance expectations, negotiating license terms and implementing a systematic license-monitoring and compliance program.

SPEAKER BIOS
Vincent Leoni is a Partner with the Business Risk Management and Control Solutions group of Moss Adams LLP, and the partner in charge of the Royalty Compliance group in Los Angeles. He has over 24 years' experience performing royalty compliance examinations on behalf of licensors, software developers, owners of intellectual property, patent holders, trademark owners, production companies, recording artists and music publishers. In addition to this work in the U.S., Vince has traveled extensively throughout the world, performing a number of licensee exams on behalf of major trademark licensors in Europe, Asia and Australia. He has also performed numerous due diligence examinations and copyright valuations. Vince has provided litigation support services on behalf of licensors and on multiple occasions has analyzed income streams in order to determine damages and the appropriate share of royalties due participants. He has also been called upon to serve as an expert witness testifying in the Superior Court of the State of California.

Vince has lectured on behalf of the Entertainment Division of the California Society of Certified Public Accountants, presented to the membership of the Licensing Industry Merchandisers Association and participated on panels discussing royalties and royalty participation sponsored by the National Association of Recording Arts and Sciences, the Riemer Organization, and the Association of Independent Music Publishers.

Vince is a Certified Public Accountant and holds a Bachelor of Science degree from Loyola Marymount University.  He is a member of the American Institute of Certified Public Accountants, California Society of Certified Public Accountants, the Institute of Internal Auditors and the LMU Accounting Advisory Board.

Bill Rainey is responsible for leading Intertrust's global legal and corporate development activities which include acting as executive, corporate development and general counsel to Intertrust portfolio companies such as SyncTV Corporation, an online video distribution platform for CE devices; Seacert Corporation, a cryptographic key and trust services provider; and whiteCryption, a whitebox cryptography company. Rainey also oversees the Company's finance and G&A activities, and he brings significant in-house legal experience, including IP licensing, employment matters, mergers and acquisitions, and commercial contracts. Before joining Intertrust in 1999, Rainey worked as a deputy public defender in Santa Clara County and in private legal practice in Silicon Valley. Prior to becoming an attorney, he worked as an account representative at Shearson-Lehman American Express. Rainey received his J.D. from University of the Pacific, McGeorge School of Law, and B.S. degree in Commerce/Finance from Santa Clara University.

Mark Berman has over 15 years' experience in global telecommunications, media and technology equity research. Formerly based in Tokyo with Lehman Brothers as Senior Vice President & Director of Equity Research, he headed their Japanese equity research team. Mark began his career in Tokyo in the Commodities & Materials sector at Jardine Fleming (now part of JPMorgan) where he earned ranking as an institutional investor. While in Tokyo, Mark worked for Credit Suisse First Boston as a Senior Telecom and Media Analyst. Mark's career took him to New York as an Asia Generalist and Senior Analyst covering Global Technology, Media and Telecom for the Rockefeller Family Office. He has acted as the Research Analyst on numerous transactions including two Nippon Telegraph & Telephone share issuances by the Japanese government, DoCoMo share issuance (also by the Japanese government), and convertible bond issuance by Kenwood Corporation. Mr. Berman is a board member for numerous private wireless technology ventures and is a Senior Managing Director at The Analyst Exchange, a firm teaching M&A modeling. He received his bachelor's degree from Dartmouth College and is a Certified Financial Analyst.

Julio Bermudez is an eight year Adobe veteran whose responsibilities have spanned the audit and accounting functions. Currently, Julio manages both Adobe's royalty expense accounting function and the worldwide royalty compliance program. As operational control owner for processes related to third party licensing and royalty expense, he manages the inbound vendor license agreements; coordinating with legal, sales, order management, and finance. As director of the royalty compliance program, Julio validates the reporting from the outbound license agreements which contribute 15% to Adobe's overall revenue. Julio brings a unique experience and expansive perspective to licensing issues, having looked at them from both sides. He has also managed the channel compliance program. His Adobe career began in Internal Audit, which included follow-up on whistleblower allegations. Prior to Adobe, Julio worked at Sony and Time-Warner where his internal audit work served executive management during investigations by the Federal Bureau of Investigations (FBI) related to the distribution of promotional goods and the Federal Trade Commission's (FTC) allegations regarding price-fixing. Julio has worked at a Big Four firm and is a Certified Internal Auditor.

Daphne Higgs is a senior attorney in Perkins Coie's Licensing and Technology group. She counsels private and public companies on complex technology transactions, with a particular focus on intellectual property, privacy and open source. Daphne has drafted and negotiated numerous technology and content licenses as well as development, distribution, manufacturing, affiliate, reseller and marketing agreements. She regularly advises clients with respect to intellectual property protection and commercialization strategies, open source policies, privacy issues and social media matters. Daphne has led clients in the cloud services, open source, digital media, interactive entertainment, apparel, software, hardware and consumer e-commerce sectors through hundreds of transactions ranging from basic click-through to multi-tiered international agreements. Daphne also provides strategic intellectual property, privacy and data protection advice with respect to M&A and venture capital transactions. In 2011, Daphne was named a Northern California SuperLawyer -- Rising Star.
